Welcome to MCA Institute. These Terms of Service ("Terms") govern your access to and use of the website mcainstitute.com, the learning platform at learn.mcainstitute.com, and all related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old to use the Platform. By creating an account, you represent that you are at least 18 years of age and that all information you provide is accurate and complete.

2. Account Registration

To access certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Membership Plans

MCA Institute offers membership plans at various pricing tiers. Each plan provides access to specific content, tools, and community features as described on our pricing page. We reserve the right to modify membership offerings, features, and pricing at any time, with reasonable notice to existing members.

4. Payment and Billing

Membership fees are billed on a recurring monthly basis through Stripe. By subscribing to a plan, you authorize us to charge your payment method on a recurring basis until you cancel. All fees are quoted in U.S. dollars unless otherwise stated.

5. Cancellation and Refunds

You may cancel your membership at any time through your account settings. Upon cancellation, you will retain access to your current membership tier through the end of your current billing period. We do not provide prorated refunds for partial billing periods.

If you are unsatisfied with the Platform for any reason within the first 14 days of your initial subscription, you may request a full refund by contacting us at info@mcainstitute.com.

6. Intellectual Property

All content on the Platform, including but not limited to course materials, text, graphics, logos, templates, tools, and other materials ("Content"), is the property of MCA Institute or its licensors and is protected by copyright and other intellectual property laws.

Your membership grants you a limited, non-exclusive, non-transferable license to access and use the Content for your personal and professional development. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Content without our prior written permission.

7. Downloadable Resources

Certain membership tiers include downloadable templates, tools, scripts, and other resources. These are provided for your personal and internal business use. You may not resell, redistribute, or sublicense these resources as standalone products. You may use them within your own business operations.

8. Community Guidelines

When participating in community features of the Platform, you agree to communicate respectfully and professionally, refrain from sharing confidential or proprietary information belonging to third parties, not post spam, solicitations, or promotional material unrelated to MCA industry education, and not engage in harassment, discrimination, or any conduct that disrupts the community.

We reserve the right to remove content and suspend or terminate accounts that violate these guidelines.

9. Inner Circle Advisory Services

The Inner Circle membership tier includes advisory calls and direct messaging access. All advice and guidance provided through these services is for informational and educational purposes only. It does not constitute legal, financial, or regulatory advice. You are responsible for your own business decisions and should consult qualified professionals for specific legal, financial, or compliance matters.

10. Disclaimer of Warranties

The Platform and all Content are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We make no guarantees regarding specific business outcomes, revenue, or results from using our Content or resources.

11. Limitation of Liability

To the fullest extent permitted by law, MCA Institute and its owners, operators, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, any Content or resources obtained through the Platform, or any conduct or content of any third party on the Platform. Our total liability for any claims arising from these Terms shall not exceed the total amount you paid us in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless MCA Institute, its owners, operators, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in New York County, New York.
